Terms of Use

Welcome to Roux. These Terms of Use ("Terms") govern your access to and use of the Roux mobile application and related services (collectively, the "Service") operated by Roux Studios, LLC ("Roux," "we," "us," or "our"). By downloading, accessing, or using Roux, you agree to these Terms. If you do not agree to these Terms, you should not use the Service.

These Terms should be read alongside our Privacy Policy, which describes how we collect, use, and handle your personal information.

1. Definitions

• "Service" refers to the Roux mobile application and any related services provided by Roux Studios.
• "User Content" refers to recipes, notes, images, meal plans, voice queries and transcriptions, or other materials submitted or stored by users within the Service.
• "User" or "you" refers to any individual accessing or using the Service.

2. The Roux Service

Roux is a cooking assistant designed to help users organize recipes, plan meals, generate shopping lists, and receive guidance while cooking. The Service may allow users to:

• Import recipes from links, photos, or pasted text
• Save and organize recipes
• Create meal plans
• Generate grocery lists
• Ask cooking questions through voice or text
• Share images during cooking for guidance

Certain features rely on automated systems, including artificial intelligence, to generate responses or suggestions. We may update, modify, or discontinue features of the Service at any time.

3. Eligibility

You must be at least 13 years old to use Roux. If you are under the age of 18, you must have permission from a parent or legal guardian to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to agree to these Terms.

4. License to Use Roux

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. You may not:

• Copy or distribute the application
• Modify or create derivative works of the software
• Reverse engineer or attempt to extract the source code
• Use the Service for unauthorized commercial purposes

All rights not expressly granted in these Terms are reserved by Roux Studios.

5. User Accounts

You are required to create a user account to use Roux. You are responsible for maintaining the security of your account and for all activity that occurs under it. Roux uses Apple Sign In and Google Sign In for authentication — you are responsible for keeping those third-party accounts secure. You agree to provide accurate information. Roux reserves the right to suspend or terminate accounts that violate these Terms.

6. User Content and Recipes

Roux allows users to store and organize content such as recipes, meal plans, images, and other materials. You retain ownership of your User Content. By using the Service, you grant Roux a limited, non-exclusive license to store, process, and analyze your content solely to operate and improve the Service.

Imported Content

You may import recipes or content from third-party sources. You are responsible for ensuring that such use complies with applicable laws and does not infringe the rights of others. Roux does not guarantee the accuracy or formatting of imported content.

Household Content

If you participate in a household, your User Content — including recipes, meal plans, and shopping lists — will be visible to and usable by other members of that household. You are responsible for the content you contribute to a shared household.

Shared Content

When using Roux's recipe sharing features, you are responsible for ensuring you have the right to share any recipe or content you distribute to others. Roux does not verify ownership of shared content. By sharing a recipe, you represent that you have the necessary rights to do so and that sharing it does not violate any copyright, license, or other third-party rights.

7. Artificial Intelligence Features

Certain features of Roux rely on artificial intelligence systems to generate responses or suggestions. AI-generated responses may be incomplete, inaccurate, or inappropriate for specific cooking situations. The information provided through the Service is intended as general cooking guidance only. Users should exercise their own judgment when preparing food and should verify important information before relying on it. AI features are not a substitute for personal judgment, especially regarding health, safety, or dietary needs.

8. Experimental and Beta Features

From time to time, Roux may offer features that are labeled as "beta," "experimental," or similar. These features:

• May be incomplete or unstable
• May change or be discontinued at any time
• May produce unexpected or unreliable results

You use experimental features at your own risk.

9. Cooking and Food Safety Disclaimer

Cooking involves inherent risks, including food safety concerns and the potential for allergic reactions. Roux does not guarantee that recipes are safe or suitable for all users, that instructions are correct for your situation, or that ingredients are appropriate for allergies or dietary needs. You are responsible for safe food handling, verifying ingredient safety, and exercising judgment when cooking. Roux does not provide medical or nutritional advice.

10. Voice Data

Roux may use voice input features that process audio through on-device and third-party speech recognition systems. Voice data is used only to provide and improve the Service and is not sold to third parties. Please see our Privacy Policy for details on how voice data is retained and processed.

11. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Upload illegal or harmful content
• Infringe intellectual property rights
• Interfere with the operation of the Service
• Attempt unauthorized access
• Scrape or extract data from the Service using automated means or bots
• Misuse artificial intelligence features

We reserve the right to suspend or terminate accounts that violate these rules.

12. Intellectual Property

The Service, including its software, design, and content (excluding User Content), is owned by Roux Studios and protected by law. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our permission.

13. Third-Party Services

Roux relies on third-party providers, including cloud infrastructure, AI services (including Anthropic), analytics tools, search, and speech services. We are not responsible for the availability of these services or errors or outputs generated by them.

14. Subscriptions and Payments

Certain features of Roux may require a paid subscription ("Premium" and "Family"). Subscriptions are billed through your app store provider (e.g., Apple App Store or Google Play) and automatically renew unless canceled. You can manage or cancel your subscription through your app store account. All billing, refunds, and payment processing are handled by the app store provider and are subject to their terms.

If you downgrade your subscription, your content will be retained, but you will lose access to premium features after the end of the current billing period.

15. Platform Terms (Apple App Store)

If you download Roux from the Apple App Store:

• These Terms are between you and Roux Studios, not Apple
• Apple is not responsible for the Service or its content
• Apple has no obligation to provide maintenance or support
• Apple is a third-party beneficiary of these Terms

16. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free performance, security, or reliability. We may modify, suspend, or discontinue parts of the Service at any time without notice.

17. Disclaimer of Warranties

To the fullest extent permitted by law, Roux Studios disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Roux does not guarantee that the Service will meet your expectations, that the information provided will be accurate or complete, or that the Service will be free from interruptions or errors. Your use of the Service is at your own risk.

18. Limitation of Liability

To the fullest extent permitted by law, Roux Studios and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service. This includes damages related to cooking outcomes, food safety issues, AI-generated content, inaccuracies in recipes, loss of data, and service interruptions.

In no event will Roux Studios' total liability exceed $100 USD or the amount you paid for the Service in the previous 12 months, whichever is greater.

19. Indemnification

You agree to indemnify and hold harmless Roux Studios and its affiliates from any claims, damages, losses, or expenses arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights.

20. Dispute Resolution and Binding Arbitration

If a dispute cannot be resolved informally, it will be resolved through binding arbitration, rather than in court, except for small claims court matters. Arbitration will be conducted on an individual basis under the AAA Consumer Arbitration Rules in the United States.

No Class Actions

You agree that disputes will be resolved individually and that you waive the right to participate in class actions or class arbitration.

Arbitration Opt-Out

You may opt out of binding arbitration within 30 days of first agreeing to these Terms by emailing legal@cookwithroux.com with the subject line "Arbitration Opt-Out."

21. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, for violations of these Terms or other reasons. You may stop using the Service at any time. Sections 6, 12, 17, 18, 19, 20, and 23 survive termination.

22. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email and/or in-app notification, except where immediate changes are required by law. Continued use of the Service after updates constitutes acceptance of the revised Terms.

23. Governing Law

These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles. Except as otherwise provided in the Dispute Resolution and Arbitration section, any disputes arising from these Terms shall be resolved in courts located in Washington, DC.

24. California Residents

If you are a California resident, you have the following rights under the California Consumer Privacy Act (CCPA):

• Right to Know – You may request information about the personal data we collect, use, and disclose.
• Right to Delete – You may request deletion of your personal data, subject to certain exceptions.
• Right to Correct – You may request correction of inaccurate personal data.
• Right to Opt Out of Sale/Sharing – We do not sell your personal data. If this changes, you will have the right to opt out.
• Non-Discrimination – We will not discriminate against you for exercising your CCPA rights.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Roux Studios regarding the Service and supersede any prior agreements or understandings.
